ALPHA TRUST Investment Services SA announcement to the Athens Stock Exchange Alternative Market

ALPHA TRUST Investment Services SA ("ALPHA TRUST") announces that on 6 November 2012 it completed a transaction involving the business sale of the UK private client asset management business of its subsidiary in the UK, Taylor Young Investment Management Ltd. ("TYIM").
The buyer, Rathbone Brothers Plc, established in 1742, is one of the UK's leading providers of personalized investment and wealth management services for private clients, charities and trustees. The transaction will be effected through Rathbone Brothers Plc's principal subsidiary Rathbone Investment Management Limited ("Rathbones").
The transaction relates only to UK clients and excludes the international clients of the company for which alternative arrangements are being made.
TYIM funds under management were £ 337million on 2 November 2012. It is expected that Rathbones will pay a total of up to £10million in cash consideration for the business. This total consideration will consist of an initial payment of £2.6million, together with payments of deferred consideration in May 2013 and November 2014. Deferred consideration payments

will be calculated by reference to the value of the funds that transfer to Rathbones over the next eighteen months.
The aggregate consideration payable is capped at £15million. ALPHA TRUST's shareholding in TYIM presently amounts to 81.38%.
As part of the transaction, TYIM's investment management team, led by Peter Thomson, have joined Rathbones. As a result of this move, Peter Thomson resigned from the Board of

Directors of ALPHA TRUST on 6 November 2012 while he will remain as CEO of TYIM until the transfer of clients to Rathbones is completed.
