Announcement of approval of the Demerger of “ALPHA TRUST” by way of a Spin-off and establishment of a new company

ANNOUNCEMENT OF APPROVAL OF THE DEMERGER OF “ALPHA TRUST” BY WAY OF A SPIN-OFF AND ESTABLISHMENT OF A NEW COMPANY

ALPHA TRUST Mutual Fund and Alternative Investment Fund Management S.A. (hereinafter the “Company” or “Demerged”) informs the investors that on 18.12.2023, the decision no. 3159632 ΑΠ/18.12.2023, issued by the Ministry of Development, was registered in General Commercial Registry (G.E.MI.) under Entry Code No. 3943346, approving the demerger of the Company by way of the spin-off of its mutual fund and alternative investment fund management business as well as its portfolio management, advisory and order reception and transmission services business (hereinafter the "Business") and the establishment of a new company, pursuant to the provisions of articles 54 par.3, 57 par. 3, 59 – 74, 83-87 and 140 of the Laws 4601/2019, 4548/2018 and article 52 of Law 4172/2013 (hereinafter the “Demerger”), following the decision of the Extraordinary General Meeting of Shareholders, dated 03.11.2023.

Upon completion of the demerger the following results occur:
1. A new mutual fund and alternative investment fund management s.a. is established, under the name "ALPHA TRUST Mutual Fund and Alternative Investment Fund Management Single Member S.A. " (hereinafter the "Beneficiary"), with G.E.MI. registration number 173975960000 and the distinctive title "ALPHA TRUST". The decision approving the establishment of the Beneficiary and its Articles of Association was registered in G.E.MI. on 18.12.2023 under Entry Code No. 3943282.
The Beneficiary shall be substituted as universal successor to the entire Business, transferred to it, (assets and liabilities), as reflected in the balance sheet of the spin-off business dated 04.09.2023 and formed until today, date of completion of the Demerger.
The Beneficiary, as universal successor of the spin-off Business, continues the spin-off activity of mutual fund and alternative investment fund management as well as portfolio management, advisory and order reception and transmission services.

2. The Demerged becomes the sole shareholder of the Beneficiary by taking up all the issued shares of the Beneficiary, i.e. one hundred and sixty thousand (160.000) common registered shares of nominal value ten euros (10 €) each.

3. As a result of the completion of the Demerger, the Demerged ceases to be a mutual fund and alternative investment fund management company and maintains activities and assets that do not relate to the spin-off Business, while its shares remain listed on the Main Market of the Athens Stock Exchange. This change in the purpose of the Demerged, as well as its new brand name ("ALPHA TRUST HOLDINGS S.A.") are reflected in its amended Articles of Association, which was registered in G.E.MI. on 18.12.2023 with Entry Code No. 3943346.
